"C" Corporations
Dear Forum Participants: I would like to start off by stating that I work for a firm, Pomcor, Inc. (“Pomcor”) which specializes in solutions for both 1033 and 1031 exchanges. Pomcor is a Florida based corporation that acquires “C” corporations (and other similarly taxed entities) where the corporation’s main asset is real property and the shareholders of the corporation desire to “cash out”. Under 1031, Pomcor acquires these corporations both, where there is a buyer for the real property owned by the company, and where there is no other party inclined to purchase the real property assets. The pricing and premium are different depending on the structure and whether there are other assets or operations involved. Pomcor has the pre-requisites needed to consummate nine figure acquisitions however, the estimated net taxable gain at the corporate level should be a minimum of nearly $2 million.
At no cost or obligation, Pomcor prepares a comparative analysis based on the facts and circumstances and tailored to the shareholders’ objectives. Residual assets such as property, equipment and/or operations may be conveyed or distributed to the shareholders (oftentimes at a “stepped-up” basis in a single-taxed entity). Pomcor can close quickly and the acquisition is typically for all cash with no holdbacks, providing the sellers with a clean exit.
For further information or questions, contact Gretchen Krise with Pomcor at (561) 352-2247 or visit the company’s website at www.pomcor.net.
