| I have a client that lives in IL and owns investment property in PA with his brother (who lives in PA). Are there any tax reasons to form the llc in one state over the other? | |

| Assuming that 100% of the business takes place in PA, If you form it in IL, you'll have to file returns in PA and in IL. Whereas if you form it in PA, you only have to file LLC returns in PA. | |

| No need to file tax return in Illinois if no business is transacted there. The real problem is that if LLC formed in Illinois, then a Certificate of Authority needs to be applied for with PA SOS. Double the SOS fees. Annual reports in both states. | |
