| LLC that is dissolving in 2008 refuses to issue its 2007 K-1's to the LLC members until certain other employees (which one member, the managing member of the LLC, contends are members) agree to accept a K-1 rather than a 1099, or unless and until they sign a release and indemnification agreement for any tax or other liability associated with the issuance of the documents. The disputed "members" have informed the LLC that they intend to dispute any K-1 they are issued with the IRS. Can an LLC refuse to issue tax documents just because it is aware that an individual will dispute the documents issued? Even more, can an LLC hold the individuals' tax documents "hostage" for a release? This does not sound right. | |
