Question #1

I dissolved an S-corp with no activity and 0 revenue in May of 2007. It was opened in 2006. Should I still file S-corp returns with the state and feds for 2007 or will it matter and will they care ?

Question #2

Very similar to #1 ...opened an S-corp in March of 2007 and dissolved it in December of 2007 but did not file dissolution with state until March 2008. It had no activity and 0 revenue. Should I file 2007 federal and state returns on it and will they care ?

I dunno, Old. Are you trying to enrich attorneys or what? Why are you dissolving them if there's no activity? Pay the annual fees and use them later. You could wait for mail from the gov. But you really ought to befriend an accountant.

If you never file anything with the state, eventually the corporations will be suspended. It may be expensive to keep them alive ($800/year in California, for example). If they have no assets, never had any assets, and you never took anything out of them, there is nothing for the state to collect from. You can probably just let them die on the vine. But it does depend on the rules of the particular state where they are organized.
