I know the basic rules regarding QSub but never filed tax returns including QSubs. A QSub is not treated as a separate corporation for federal tax purposes and QSub’s assets, liabilities, and items of income, deduction, and credit are treated as owned by the parent S corporation. To make sure, then, do QSubs not file their own tax returns and their Parent file one 1120S?

Parent files the only 1120S, combining all entities. Ensure there were accepted by the IRS.

What if a QSUB purchases another S corp. Should the parent be listed on the new QSUB election? Or the QSUB which purchased the new s corp?
