I have a client that I intend to file a late Sub-s election form 2553 for ,the due date was 09/15/2007..my intention is to make it retroactive.....Question...What will you guys consider to be a Reasonable cause for late filing.....the actual reaso was the Person who incorporated did not know anything about taxes and hence failed to file the Form 2553..of course I have been asked to do the Corporate retrun....I need some help as to what I can use as a Reasonable reason for the late election

A few years back when I had to do one of these late I forgot to attach the letter with the reasonable cause. I actually had an IRS employee call me and dictate what I should say in the letter...been using that every since:

"Election filed late due to clients misunderstanding of filing requirements"... no pointing fingers required - works every time.

I am sure you already know that you can now file the 2553 with your 1120s in certain situation.
