| A client that happens to be a Church in Texas has received a letter from an attorney saying that their corporate status has been involuntarily dissolved due to their failure to file Form 802 (Periodic report) and that the name of the Church has been taken over by someone else. My client moved to a different address a few years ago and never informed the SOS of the change of address.
Apparently, a disgruntled community member got hold of this information and had his attorney file the necessary paperwork to assume the name for his own non-profit organization. They are asking my client to turn over all the records and official paperwork that carry the name in question. I talked with the SOS office and was told that my client did not have any recourse. I have advised my client to talk to an attorney as it is beyond the scope of my services. Has anyone been exposed to such a situation? Is their any advice that might help in this case? Thank you. | |

| Legal matter, but he's probably SOL. That's the risk you take for not staying on top of your states requirements.
Your client though doesn't have to turn over any records or paperwork. He's starting a "new" business using the previous entity's names. Let him figure it out. | |
