| Well I am now officially exhausted with this LLC partnership. What I thought to be the Articles of Organization I asked for a copy of is actually an Amendment.
Client said he filed for the Articles of Organization on April 19,2007 with person B. But the partnership never did any business or buy any assets or anything. Person B just thought at the time that he would want to be a partner and then decided not. So Articles of Amendment were filed in June when Person C said he wanted to be a partner. No money changed hands no property nothing. Just the first couple of guys jumped the gun and applied for Articles of Organization. So how wonderful. Any suggestion how to handle this tax wise? As far as the state is concerned the LLC still operates and I assume they do not have to get a new federal id and such. But now I am unclear of the effective date on the 1065 and if somehow I have to report partner B in all of this even though absolutely no business transaction occured in the LLC partnership. | The effective date of the LLC is the date they filed with the Sec of State. You should be able to look this up on the Sec of State web site. | |
