| If a sole prop has an EIN for payroll purposes and then creates a corporation to replace the sole prop, can the EIN be transferred to the corporation or must a new EIN be obtained? | |

| You disagree that the corporation needs a new EIN? On the SS4, if there is a need for a new ein, it asks why....why is that they changed type of organization and this is a question on the SS4. The instructions say clearly that if it changed from a sole prop to a corporation, then you need to give this reason on the SS4.... | |

| But when it asks if the applicant has ever had an EIN, for a new corp, the answer is no. The only time an EIN transfers is when one sch. C becomes another. Had this nightmare when a Sch. C filer incorporated years ago, killing the Sch. C. After a few years, the s/h's split up, we killed the corp, and he went back to being a sole prop. Called IRS since he'd have employees, and they assigned him a new number. ONly to later take it away and have us revert to his old old number...with several rounds of PR filings and W2's on the new. Lots of mail on that one. | |

| The corp. definitely must have a separate EIN from the sole prop. (I have edited my original "disagree" post to try to make my position clearer.) | |
