| I have a client who purchased a condo in Nevada last year as a vacation home and rental property. They formed a WA State LLC and transferred the condo into the LLC. They rented it out a little bit last year, but will rent it out more this year and in future years. Do they have to register with the State of Nevada as a foreign corporation (LLC) doing business in Nevada? I can't tell and when I called the Nevada Secretary of State they told me they didn't know either and that I should contact an attorney. | |

| It sounds to me that if they intend to be protected by the limited liability company laws of Nevada, they need to file for a certificate of authority to operate in that state. A Limited Liability Company is an unincorporated business, so corporation laws do not apply.
Go to the Nevada SOS website to get the form and follow their directions. | |

| I am unfamiliar with Nevada laws, but I wonder if it would make better sense for them to dissolve the WA LLC and just create a new Nevada LLC. Any thoughts on that? | |

| If they live in WA, you'll need to confirm that by their running the LLC from WA whether they need to also be registered in that state as well. | |

| Nevada has very relaxed tax laws. It's interesting, isn't it, that you client has chosen two states that do not have income taxes, so I doubt if any state tax returns will be filed. | |
