I have a C corp that has 2 stockholders and pays a divided out of its E&P each year. Does it have to issue a 1099-DIV and are these ordinary or qualified dividends?

Yes. Issue 1099-DIVs and they are qualified dividends.

They're qualified if they meet the tests in sec. 1(h)(11). I assume you would have told us if the corporation were a PFIC, but there is a little more to it than that.
