Alamanacers,

I have a client who owns a C corp and set up the articles in Deleware. They are Virginia based and there was not real reason to set up the C Corporation in DE. They just thought this was the best place since a lot of big corporations do it there.

They want to switch it to VA.

Is this as easy as just setting up a corp in VA. Does this effect the EIN number?

Please advise what you have seen.

You just move it. It's called an F Reorg I believe. Same corp, change of address basically, but an attorney has to get the job done. Doesn't affect us on the accounting/tax side.

Corporations

You will be required to obtain a new EIN if any of the following statements are true.

A corporation receives a new charter from the secretary of state.

You are a subsidiary of a corporation using the parent's EIN or you become a subsidiary of a corporation.
